1. Services
1.1 Scope of Services
Baroda Web Solution provides web design, development, digital marketing, and related services . The specific details and scope of services will be outlined in the project proposal or agreement between Baroda Web Solution and the client.
1.2 Client Cooperation
The client agrees to provide timely cooperation, including necessary information, materials, and approvals required for the successful completion of the project.
2. Fees and Payment
2.1 Fees
Clients agree to pay Baroda Web Solution the fees specified in the project proposal or agreement.
2.2 Payment Terms
(1) Invoices will be provided by Baroda Web Solution upon completion but before publishing the live website.
(2) Invoices are normally sent via email; however, the Client may choose to receive hard copy invoices.
(3) Invoices are due upon receipt.
(4) Accounts that remain unpaid thirty (30) days after the date of the invoice will be assessed a service charge in the amount of the higher of Three percent (3%) or 5000 inr per month of the total amount due.
3. Intellectual Property
3.1 Ownership
Upon full payment, Baroda Web Solution grants the client ownership of the final project, including all intellectual property rights, unless otherwise specified in the project agreement.
3.2 License
Until full payment is received, Baroda Web Solution retains a license to use the project for promotional purposes.
4. Confidentiality
Both parties agree to keep confidential all non-public information obtained during the term of the project.
5. Termination
(1) Termination of services by the Client must be requested in a written notice and will be effective on receipt of such notice.
(2) E-mail or telephone requests for termination of services will not be honored until and unless confirmed in writing.
(3) The Client will be invoiced for work completed to the date of first notice of cancellation for payment in full within thirty (30) days.
6. Limitation of Liability
Baroda Web Solution is not liable for any indirect, consequential, incidental, or punitive damages arising out of or in connection with the use of our services.
7. Governing Law
This Agreement shall be governed by Indian Law.
Any issues arising out of this proposal/contract or quotation or work order or requirement shall be subject to Vadodara jurisdiction.
8. Changes to Terms
Baroda Web Solution reserves the right to update or modify these Terms at any time. Clients will be notified of any changes.
